Terms of Service

These Terms of Service ("Terms") form a legally binding agreement between you ("you" or "User") and STARPHONE LLC ("STARPHONE", "we", "us" or "our") governing your access to and use of our websites, mobile applications, software, and related services (collectively, the "Services").

By creating an account, using a STARPHONE virtual number, or otherwise accessing the Services, you agree to be bound by these Terms and our Privacy Policy.

If you do not agree, you must not use the Services.

1. Description of the Services

1.1 Secure virtual numbers & communications

STARPHONE provides secure virtual phone numbers that use number masking to allow Users to make and receive voice calls and one-to-one text messages (SMS, and where available MMS) through our applications or integrated third-party platforms, without revealing real personal phone numbers.

1.2 Not a carrier

STARPHONE is not a wireless carrier or traditional telecommunications operator. We provide an application-level service that operates over networks owned and managed by licensed carriers and communication providers.

1.3 Non-marketing, conversational use

The Services are designed primarily for manual, user-initiated, one-to-one conversational communication, such as online marketplace transactions, job callbacks, customer follow-ups, rental inquiries, and similar direct interactions. The Services are not intended for bulk messaging, marketing campaigns, or automated outreach.

1.4 No emergency services

The Services must not be used to contact emergency services (such as 911). You must maintain alternative means of communication for emergencies.

2. Eligibility & Account Registration

2.1 You must be at least 18 years old and capable of entering into a binding contract.

2.2 You must provide accurate and complete information when creating an account, including a valid mobile phone number and, where required, identity verification or payment details.

2.3 You are responsible for safeguarding your account credentials and for all activity conducted through your account. Notify us immediately of unauthorized use at support@starphone24.com.

3. Virtual Numbers and Usage Rules

3.1 Assignment of numbers

STARPHONE or its providers assign one or more virtual phone numbers ("STARPHONE Numbers") for your use. You do not own these numbers; they are licensed while your account remains active.

3.2 Number changes

We may reclaim, reassign, or change STARPHONE Numbers to comply with carrier, regulatory, or operational requirements, with reasonable notice where possible.

3.3 Service limitations

Delivery of calls and messages depends on third-party networks. We do not guarantee uninterrupted service or delivery of any specific communication.

3.4 Lawful use

You must comply with all applicable laws and regulations, including TCPA, CTIA guidelines, carrier codes of conduct, and these Terms.

4. Acceptable Use & Prohibited Content

4.1

You may not use the Services for illegal, abusive, or harmful purposes.

4.2 Prohibited uses include, but are not limited to:

  • Spam, bulk, or unsolicited messaging
  • Fraud, phishing, impersonation, or scams
  • Harassment, threats, or hate speech
  • Exploitation of minors
  • Illegal drugs, weapons, or unlawful activities
  • Any content violating carrier or CTIA rules

4.3 No bulk marketing or campaigns

You may not use the Services for mass texting, promotional campaigns, or automated programs unless expressly authorized in writing and fully registered with applicable carrier requirements (e.g., 10DLC or Toll-Free verification).

4.4 One-to-one conversational use

Messages must be sent only to individuals with whom you have a direct relationship and who have provided prior express consent.

4.5 Abuse monitoring

We may monitor usage patterns (not message content, except as permitted by our Privacy Policy) to detect abuse or non-compliance.

5. Consent, Opt-In and Opt-Out

5.1

You are responsible for obtaining legally valid consent before sending SMS messages.

5.2

All STARPHONE Numbers must honor standard opt-out commands such as STOP.

5.3

HELP requests must return program and support information.

5.4

Failure to comply may result in suspension or termination.

6. Fees, Billing & Taxes

6.1 Plans and pricing.

Access to the Services may require payment of subscription fees, per-minute voice charges, per-message charges, or other usage-based fees as described in your plan or on our website.

6.2 Billing.

You authorize us (and our payment processors) to charge all applicable fees to your selected payment method. All payments are non-refundable except where required by law.

6.3 Taxes and Surcharges.

You are responsible for all applicable taxes, regulatory fees, and carrier surcharges that may be added to your invoice.

7. KYC, Verification & Fraud Prevention

7.1 We may require you to provide additional identification information, business documents, or proof of number ownership to comply with KYC/AML, fraud prevention, or telecom regulations.

7.2 We may suspend or restrict Services if you fail to provide requested information or if we reasonably suspect fraud, abuse, or regulatory risk.

8. Third-Party Services

8.1 The Services may interoperate with third-party carriers, aggregators, cloud providers, app stores, and other services ("Third-Party Services"). We are not responsible for Third-Party Services and do not control their availability or performance.

8.2 Your use of Third-Party Services may be subject to additional terms from those providers.

9. Intellectual Property & User Content

9.1 Our IP.

All rights, title, and interest in the Services (excluding your content) are owned by STARPHONE and its licensors.

9.2 Your content.

You retain ownership of the content of your calls and messages. You grant STARPHONE a limited, non-exclusive, royalty-free license to process, store, transmit, and use such content solely as necessary to provide and improve the Services, enforce these Terms, and comply with law.

10. Data & Privacy

10.1 Your use of the Services is also governed by our Privacy Policy, which explains how we collect, use, and protect your personal information.

10.2 By using the Services, you consent to our collection and use of information as described in the Privacy Policy.

11. Disclaimers

11.1 The Services are provided on an "AS IS" and "AS AVAILABLE" basis, without warranties of any kind, whether express or implied, including any implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of dealing.

11.2 We do not warrant that the Services will be uninterrupted, secure, or error-free, or that messages or calls will always be delivered.

12. Limitation of Liability

To the maximum extent permitted by law:

  • STARPHONE and its affiliates, officers, employees, and partners will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or data, arising out of or in connection with the Services or these Terms; and
  • our total aggregate liability arising from or relating to the Services or these Terms will not exceed the greater of (a) the amounts you paid to STARPHONE in the three (3) months preceding the claim, or (b) one hundred U.S. dollars (US$100).

Some jurisdictions do not allow certain limitations; in that case, these limits apply to the fullest extent permitted.

13. Indemnification

You agree to indemnify, defend, and hold harmless STARPHONE and its affiliates, officers, employees, and agents from and against any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

  • your use of the Services;
  • your violation of these Terms or applicable law; or
  • any communications or content you send using the Services, including alleged violations of privacy, consumer protection, or telecom regulations.

14. Suspension & Termination

14.1 We may suspend or terminate your access to the Services, with or without notice, if we believe you have violated these Terms, engaged in fraud or abuse, or created risk for carriers or other users.

14.2 You may terminate your account at any time by following instructions in the app or contacting support. Certain data may be retained as necessary for legal and operational purposes.

15. Governing Law & Dispute Resolution

15.1 These Terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law principles.

15.2 Any dispute arising out of or relating to these Terms or the Services will be subject to the exclusive jurisdiction of the state and federal courts located in Wyoming, USA, and you consent to such jurisdiction.

16. Changes to the Terms

We may update these Terms from time to time. When we make material changes, we will post the updated Terms on our website and update the "Last updated" date. Your continued use of the Services after the changes take effect constitutes acceptance of the updated Terms.
